Can I transfer files between 2 boxes, via ethernet card to ethernet card?

You need a rj45 crossover cable and yes you need to enable file and printer sharing.

Also if you have XP - just use networking wizard.

Is a normal cat5 cable ok, or do I need a crossover cable?

Needs to be a crossover, or you have to use a HUB with standard cable - operating systems don't matter. Network wizard the Win2000 then make a floppy at the end of the wizard and run the exe file from floppy on the win98 machine.

Network wizard doesn't work under Win 2000, works on XP, 98SE and ME only.

Or you could do it manually - by going ito network places then select properties, then TCP/IP and type in a fixed address e.g.

198.98.198.10
255.255.255.0

Then same on next computer but change to

198.98.198.20

The computers should now see each other and will default to the basic MSHOME workgroup.
