anyone know an application to do this ??

tried musicmatch jukebox and audiograbber but no joy

Cool Edit might do the job. Otherwise, load them into Winamp and use the 'direct to disk' output module to create a .wav file. This can be loaded into Cool edit and saved as .mp3 or can be encoded using Xing or L3Prod or one of the many other encoders.
