If it is the full version, you cannot install it on a machine that already has an OS on without a load of bu66ering about.
In any event, it's always best to start with a clean HD if you can. with the upgrade version you have the option on install to Upgrade existing OS or do a fresh install - choose fresh install this will do all of the removal, formatting etc for you - all you need to do is stick the CD in the drive and answer a few questions. Not sure if you get the same option in the full version, but if you do, this is the way to go.
Remember to back up any data you wish to keep first
you will also need to reinstall any programs/applications afterwards.

BTW, you should install it on C:
I'm guessing that drive D: contains documents/data etc. This should not be affected by the install, but for your own peace of mind back it up too.
