The exclamation mark usually means it cannot find the track you are trying to play (you know that already though). Is the track on a removable hard drive/cd or something that isn't inserted? Have you moved the files from one folder to another?

OK, the file that is giving the exclamation mark, is there another file from the same ablum that is ok, if so, right click on it, select the "show song file" option, which should show you where the file is on the disk. Have a look and see if there is actually a file there for the other song that is giving you problems. Try copying the file to somewhere else. If it won't copy then it's possibly a corrupt file.
It's possible the iTunes Library File might have become corrupt, so it cannot find the files, or the files might be missing on the disk.
It might be worth running and disk checking software you have to make sure there isn't a problem with the drive.

It's a new initiative from the music industry, they're stealing records from PC's. They don't think it'll stop piracy but it's free to do and they're having a laugh reading messages like yours.

I often get the exclamation mark when I alter the tracks info - like correcting a spelling mistake or adding what album its from (iTunes will change its folder). Most of the time iTunes sorts it out, it still happens from time to time, a minor annoyance.
What I wish they'd let you do is let tracks have multiple albums - would make greatest hits compilations much easier...
