There was a program that I looked at a while back called (i think) Mobile Music Polyphonic which could do this.

Found this http://www.intelliscore.net/product.html I have looked at these things in the past and they dont work that well. You cant really effectively convert an MP3 into a midi file as once all the elements are all blended its difficult to break them apart, kinda like taking a cake and deriving its basic ingredients back out of it, cant be done!!!

It really depends how simple the tune is and how many instruments are on it.
