Haven't used Winat, is it specifically for NT?.
It's most likely this will be happening on XP or 2000 server.

Ok, i think i've got it to work.
I've got one batch file start_task.bat with the following
"start /min c:\task\task.bat"
and task.bat has
"start e:\dev\task\task.php"
and i've set it to stop the task if it runs for more than 1 minute, which should be plenty long enough (in fact it's probably longer than the php timeout).
i get a quick flash of a window when the task runs but i think i can live with that.
thanks for your help guys.

You should be able to get it to run as a service as well, so be invisible to the user - but can't remember how ATM

That would be nice, but it has to be setup by 'end users' so probably best to keep them well clear of services
