Question Freehold legalish advice needed

Own the freehold and have 7 Directors one from each flat. One of the Directors is the company secretary.

Does the company secretary have more signatory powers [or sign n behalf of the freehold company] than the other Directors.

Seems like our secretary has signed a contract without consulting the rest of the Directors and it may be damaging.

Please help.

from what i can rememba if it is a big decision the board of directors has to pass a resolution to sign for a big decision etc. if this is a big issue then i think the majority of the directors hav to vote in favour. the secretary has no power to sign on behalf of directors. and even if it was to sign you need atleast 2 directors to sign a document.
the secrectary has to act in the best interests of the co.

Cheers Scoobymonster

Done a search and can't see that they have any power over other Directors and that we would need consultation with all Dircectors before a decision was made.

Can't say that I know that for sure though.
