Company contracts - IE. Not having one

Question

The company I worked for changed names to a limited company a while back. As part of the procedure every employer was issued a P45 with the promise that a new contract taking into account the new company name will be issued for us to sign.
Now, now such contract has been issued, and it's been 2 years or more since we recieved the P45.

Where do I stand, can I legally walk out of the company at any time (my contract said 4 weeks notice and I can't work for a competitor)?

Yes.

If your contract of employment is with the old company, I believe you can walk out now.

But, conversly, they are under no obligation to pay you. So I'l coencide your leaving day with payday

Id get one ASAP , contracts are "generally" in favour of the employee anyway ie notice periods etc.

It's not that I haven't asked ADP, I've reminded the MD three times in the last 2 years that we (it's not just me, about 70% of the company - ie. those who were working for us when the name changed) still have not recieved the contracts.
Just interested from a viewpoint of going to a rival (or sorts) company should the need arrise based on me (now late) appraisal.

Although you do not have a written contract, there is still a legal contract of employment between you and your employer. In the main, an employer can't take away any of your normal employment rights in any case, so you are generally no worse off either way. Obviously the anti-competition clause would be hard to enforce without a written contract in place.
