exchange 2003 on 2000 server and OWA

Default exchange 2003 on 2000 server and OWA

I am trying to find any info on what the benefits would be in upgrading 2
exchange 2003 servers from windows 2000 server to 2003 server.

The current setup is one back end exch2003 box on 2000 server which I am
looking to upgrade with the existing hardware.
The second server is a front end 2000 server sufficing for OWA (This
hardware is to be upgraded)

My questions are
1: what benefits would i get if i upgraded to 2003 server for both boxes and
if i did upgrade would I need to upgrade the DC's to get the extra
functionality (currently all on 2000 server also)?

2: What problems would I possibly encounter and are there any articles to
help with this type of upgrade?

Well the OWA server would get IIS6 which is more reliable and a performance hike.

For the rest I doubt you would see any difference.
