have some software running in background (i think) which i'm not sure whether it is what it suppose to be as i've not install it but also can't get ridge of it

Are you on a LAN? The lil' 'R' logo looks like the systray extension for RAdmin?

As for the message you've probably got automatic update checking installed for the Windows Update website. Can be disable under System Properties or by using msconfig.
