I have been offered a VF28 Turbo. Will this turbo fit directly onto my 1995 WRX which i think uses the TD05 turbo. What gains would i get ?

It will make less power than your TD05 and would not fit unless you converted your intake to front entry. You are better thinking about breathing mods/front entry on your TD05 setup when it would have mid-high 300s BHP potential if you were willing to run the boost.

you seem to be in the know. i currently have the 1995 WRX (260bhp standard) and i have the following mods:

HKS Sequential dump valve
HKS Super power flow induction kit
HKS Hiper exhaust system
HKS Widened downpipe

i am fitting an Apexi AVC-R this weekend, but still feel i need more power on it as i raced an evo 5 the other day, i did keep up but i want to have more power. Any suggestions as to a possble next mod ?

Before fitting the AVC-R I suggest you do something about the fuelling and timing and monitoring them and correcting as necessary otherwise you may get serious detonation problems which could seriously harm your engine.

It only lets you richen and retard or lean and advance. Timing and fuelling are not separately adjustable. Think about full ECUs to get the most out of it at some point, but whatever you do make sure it isn't detting with anything you do from this point.
