Default Replacing the ecu

I've managed to get my hands on a prodrive performance pack from the same year as my scooby (2001), i've fitted the cat, exhaust, and the boost hose, but when fitting the ecu what exactly do have to do? Is the ecu under the passenger footwell? When replacing the current ecu do I just dissconnect the battery at the negative and then swap them over? Also i have the key which matches the prodrive ecu - so is it just a matter of taking the keys apart and swapping the key fobs over? Any help much appreciated.
