STi Gearbox into an MY02 WRX

Planning a large amount of mods to an MY02 (well phase 2 of them anyway 
). Target is 420bhp/350lbs with uprated internals.
I was planning on the LP uprated gearset, but was wondering if the STi gearbox would be a better starting point if feasible.
I would be happy to fit the clutch and pressure plate (and possibly flywheel) if necessary, but would like to know of any other gotchas.
Examples:
Will it fit without massive re-engineering
Will I have to change the diffs
Will the gearing be approximately right
etc
